Inside The Box - Terms & Agreement

Ambassador & Affiliate Agreement

Between:
Tiny Box Company Ltd (“Tiny Box”, “we”, “us”) and the undersigned creator/ambassador (“you”).

Programs covered: Inside the Box (Tier 1) and Inside the Box+ (Tier 2) (together, the “Program”).

1. Joining the Program

1.1 Apply at tinyboxcompany.co.uk/ambassador-program-inside-the-box. We review applications and may approve or decline at our discretion.
1.2 You must be 18+, able to enter contracts, and comply with applicable laws and platform rules.
1.3 This Agreement starts on the date we email you an Approval and continues until terminated under Section 13.
1.4 The Program is non-exclusive. You can work with others, and we can work with other creators.

1.5 To begin the enrollment process, you will complete and submit the online application. We may reject your application at our sole discretion. We may cancel your application if we determine that your content is unsuitable for our Program, including if it:

1.5.1. Promotes sexually explicit materials
1.5.2. Promotes violence
1.5.3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
1.5.4. Promotes illegal activities
1.5.5. Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law
1.5.6. Includes misspellings of our company or domain name
1.5.7. Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion.
1.5.8. Contains software downloads that potentially enable diversions of commission from other affiliates in our program.
1.5.9. You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor design your website in a manner which leads customers to believe you are tinyboxcompany.co.uk or any other affiliated business.

2. Tiers, perks and commissions

2.1 You select a tier on application; we may propose a different tier on approval.

Tier 1 — Inside the Box (“Inside”)

No monthly deliverables.
Self-discount: 10% off your own Tiny Box orders.
Follower discount: 10% off with your personal code.
Commission: 6% of Net Referred Sales (defined in 2.4).

Tier 2 — Inside the Box+ (“Plus”)

Deliverables: at least 1 Instagram or TikTok Reel and 3 Stories per calendar month. You may post more to gain more commission.
Self-discount: 20% off your own Tiny Box orders.
Follower discount: 10% off with your personal code.
Commission: 10% of Net Referred Sales.

2.2 Attribution window. We attribute a sale to you if the customer orders on our website within 30 days of clicking your trackable link or uses your personal follower coupon at checkout. (Self-orders never earn commission.)
2.3 Website orders only. Referred orders must be placed on tinyboxcompany.co.uk to track automatically. If you refer a bespoke or custom project handled by an account manager, we’ll agree how to credit it case-by-case in writing (email is fine).
2.4 Net Referred Sales = order subtotal excluding VAT, shipping, gift wrap, refunds, and discounts; reduced by returns and chargebacks.
2.5 Exclusions & stacking. Your self-discount may not stack with other promos unless our site says otherwise.
2.6 Misuse. Your self-discount is personal and must not be shared publicly or on deal/discount sites. If we detect misuse (including orders placed by others using your self code), we may void discounts, withhold commission, disable codes, and remove you from the Program.

3. Deliverables (Plus tier)

3.1 Minimum per month: 1 Reel/TikTok + 3 Stories (“Monthly Set”). We’ll provide a short brief and toolkit; you choose your style within those guardrails.
3.2 Timing: post within the month; if you miss two consecutive months, we may move you to Inside The Box or pause your participation.
3.3 We may reshare your content and tag you; please keep your account public while posting deliverables.

4. Content, approvals and brand safety

4.1 Follow our Brand & Usage Guidelines (linked in your approval email) including visual standards, logo use, and prohibited content.
4.2 No misleading claims; no illegal, hateful, or unsafe content. Respect platform rules (e.g., TikTok’s Branded Content policies).
4.3 If your content features other people, you’re responsible for obtaining any permissions/releases.
4.4 We may request reasonable edits to meet brand or legal standards.

5. Disclosures and advertising rules

5.1 You must make clear and upfront disclosures that a post is an ad/affiliate (e.g., “Ad” / “#ad”) and otherwise comply with ASA/CAP guidance. If your audience includes the US, also comply with FTC Endorsement Guides. ASA+1
5.2 Disclosures must be prominent and unavoidable—not buried or hidden.

6. Licence to use your content

6.1 Inside The Box+ content. You grant Tiny Box a worldwide, royalty-free licence for 12 months from posting to use, reproduce, edit for length, and republish your Program content across our organic channels, paid ads, website, email, and sales decks, always with credit.
6.2 Inside The Box content. You grant Tiny Box permission to repost your Program content on our organic social with creator credit.
6.3 You confirm you own (or have permissions to use) all elements in your content and that our use won’t infringe anyone’s rights.
6.4 We grant to you a non-exclusive, non-transferable, revocable right to (i) access our site through HTML links solely in accordance with the terms of this Agreement and (ii) solely in connection with such links, to use our logos, trade names, and similar identifying material (collectively, the "Licensed Toolkit") that we provide to you or authorize for such purpose. You are only entitled to use the Licensed Toolkit to the extent that you are a member in good standing of our Affiliate Program. You agree that all uses of the Licensed Materials will be on behalf of Tiny Box Company and the good will associated therewith will insure to the sole benefit of Tiny Box Company.
6.5 Tiny Box Company will not edit content deceptively.

7. Tracking, reporting and payouts

7.1 You’ll receive a trackable link and a personal coupon for followers. Your self-discount is delivered to you as a coupon code to use at checkout on tinyboxcompany.co.uk.
7.2 We pay approved commissions monthly, in GBP, to your nominated bank/Stripe account, after the returns window closes. Minimum payout thresholds may apply (see your dashboard).
7.3 You’re responsible for taxes on your earnings and for providing correct payout details.

8. Fraud and quality controls

8.1 We may audit traffic and orders. Fraud, cookie stuffing, ad hijacking, spam, or code scraping is forbidden.
8.2 We may withhold or reverse commissions for fraudulent, returned, or cancelled orders, or where codes were misused.

9. Privacy and data

9.1 We process your personal data to run the Program (application details, contact info, payout data, performance). We are a controller of that data and will handle it under our Privacy Policy. Third-party providers (e.g., affiliate software, payment processors) may act as processors.

9.2 You must keep any personal data you access (e.g., in bespoke referrals) confidential and secure and delete it when no longer needed.

10. Confidentiality & non-disparagement

10.1 Keep Program materials, briefs, rates, and not-yet-public products confidential.
10.2 Don’t make statements that materially harm either party’s reputation. Legitimate reviews and lawful speech aren’t restricted.

11. Warranties, indemnity, limitation

11.1 Each party warrants it has the right to enter this Agreement.
11.2 You warrant your content is original, lawful, and compliant with Section 5.
11.3 You agree to indemnify Tiny Box against claims/losses arising from your breach (e.g., undisclosed ads, IP infringement, unlawful content).
11.4 Liability cap: except for death/personal injury, fraud, or amounts owed under this Agreement, each party’s total liability is capped at the greater of £1,000 or the commissions paid to you in the prior 12 months. No liability for indirect or consequential loss.

12. Changes to the Program

12.1 We may update Program Guidelines, exclusions, or commission structures prospectively with reasonable notice of 30 days (e.g., email/dashboard). Changes won’t affect already-earned commissions.

13. Suspension & termination

13.1 We may suspend or terminate immediately for breach, brand-safety issues, code misuse, or legal compliance reasons.
13.2 Either party may terminate for convenience on 14 days’ notice. Notice must be given in writing by either party.
13.3 Inactivity. If you do not generate any referred sales within a continuous period of four (4) months, we may contact you to discuss continued participation or remove you from the Program at our discretion. This is to ensure that participants are actively referring customers rather than solely using their personal discount without taking part in the Program.
13.4 On termination: we’ll pay any valid accrued commissions within 30 days; your codes/links end; please take down new paid posts; our licence for existing Inside+ content continues for its 12-month term.

14. General

14.1 Nothing here creates employment, partnership, or agency.
14.2 Assignment: you may not assign without our consent.
14.3 Governing law: England and Wales; jurisdiction: English courts.
14.4 Entire agreement: this plus your Approval email and Program Guidelines.
